Buying and Selling a Business

Considerations

The Business - Identifying the business activities, existing and yet-to-be-tapped markets, financial standing, competition, and other salient points is key to establishing a marketing plan and subsequently to achieving an actual sale.

Marketing Strategy - Business owners need a strategy when they consider selling their business or business interests. There is a purchaser for everything. A successful sale is only possible when the vendor knows where to find a purchaser for their business.

The Marketing Plan - An important part of a good marketing plan is knowing where the purchaser is likely to come from. Will the purchaser be found in local, national or international markets? This will also have an influence on the timeline of a sale and the cost of marketing. Having a good plan will enable a vendor to know his costs and make informed decisions along the way.

Marketing - A vendor may be in a position to look after marketing his or her business on their own. The questions they need to consider are: "Do I have access to the markets I must reach to find a purchaser?", "Do I wish to communicate with potential purchasers directly?", "What is the technical side of handling offers and deposits?"

Marketing Costs - Marketing costs depend on the geography of the potential purchaser and the advertising media most appropriate for the business. Local advertising is less costly then exposure to the international buying community. All the more reason to accurately identify the target market.

Selling a Business - When selling a business, a set of rules apply due to considerations that effect the operation of a business. We specialize in providing a platform for confidential marketing of every type of business.

We have access to the best market of purchasers in the world -- immigrants. Immigrants are the most likely people to be looking for almost any type of business.

Definition of Value:

The existence of a constant or sporadic flow of business generating a cash flow, affording payment of all cost and expenses with regular payment of appropriate wages to all employees, including the owner(s).

Value can be:

  • as in 'Definition of Value', without residual cash flow - earning fair wages for the owner(s)
  • as above plus residual earnings after all expenses have been paid but before Income Tax.

Depending on available employment opportunities in a region, persons searching for employment who, for any reason, are not able to find it, may be inclined to purchase a business.

Expectations of income from a business usually include a "Return on Investment"(ROI).

The business type and the inherent risk or security of investment will dictate the value placed on the excess cash earnings - the Goodwill. A purchaser can be asked to pay the Goodwill which relates directly to the security of investment. Particular emphasis is placed on owner-operator dependency.
